Reel Terms of Service

These terms are an agreement between you and Ouroboros Apps, operated by Lawrence Hutchins as a sole proprietor ("Ouroboros", "we", "us") for your use of Reel, including the Reel website, API, and MCP connector for AI assistants (the "Service"). By creating an account or using Reel, you agree to these terms and to our Privacy Policy. If you don't agree, don't use Reel.
1. Who can use Reel
You must be at least 18 years old and able to form a binding contract. You must also be in a country where Reel is offered. If you use Reel for an organization, you confirm you're authorized to accept these terms for it.
2. Your account
You sign in with a supported provider (OAuth). Keep your account secure. You're responsible for activity under it. Tell us right away at lawrence.a.hutchins@gmail.com if you think it's been compromised.
3. Trial and subscription
- Free trial. New accounts get a 14-day free trial with the usage limits shown when you sign up. A payment method is required to start the trial. One trial per person; we may end trials we believe are duplicate or abusive.
- Pro subscription. Unless you cancel before the trial ends, your subscription automatically converts to Reel Pro. You're charged the price shown at checkout. It then renews automatically each billing period until you cancel. Plan prices, limits, and features are shown on our website at checkout. We'll give advance notice of any price change, and it takes effect at your next renewal.
- Cancel anytime from the billing portal linked on your account page at https://reel.ouroborosapps.com/account. Cancellation stops future renewals. You keep access until the end of the period you've paid for. Payments are not refunded except where the law requires it. Opening a payment dispute suspends the plan.
- Payments are processed by Stripe. Stripe's terms apply to payment processing.
- Usage limits. Each plan has limits, such as minutes processed per billing period and maximum video length. Unused minutes do not roll over to the next period.
- In AI assistants: you subscribe on our website, not inside any AI assistant. Inside an assistant, Reel only lets you sign in to an account you already have.
4. Your content and your rights to it
- "Your Content" means videos, links, files, and questions you submit, and the outputs Reel produces from them.
- You must have the right to submit every video you give Reel. That means you own it, have permission from the owner, or the law otherwise allows your use. You are responsible for Your Content and for following any terms that apply to it, including the terms of the platform it came from.
- You keep ownership of Your Content. You give us a limited license to host, copy, process, and transmit it, and to share it with the providers listed in our Privacy Policy, only to run the Service for you. This license ends when the content is deleted, except for copies we must keep by law.
- We do not use Your Content to train AI models.
- YouTube. Reel works only with public YouTube videos, and it analyzes them through Google's Gemini API without downloading them. By using Reel with YouTube videos, you agree to be bound by the YouTube Terms of Service.
- Other platforms. Reel does not download videos from YouTube, TikTok, Instagram, X, Loom share pages, or similar sites. To use a video from those services, upload a copy you're entitled to have (for example, a file you downloaded with the owner's permission).
5. Acceptable use
You may not use Reel to:
- submit content you don't have the rights to, or infringe anyone's copyright, privacy, or other rights;
- submit child sexual abuse material, non-consensual intimate imagery, or other illegal content (we report CSAM to the appropriate authorities);
- identify, track, or monitor people without their consent, build facial-recognition databases, or infer people's emotions or sensitive traits;
- get medical, legal, or financial advice you rely on in place of a qualified professional, or use Reel in clinical practice;
- make automated decisions with legal or similarly significant effects on people (for example in hiring, credit, housing, or insurance) without human review;
- harass, threaten, defraud, or deceive anyone;
- scrape, overload, reverse engineer, or bypass limits, security, or access controls of Reel or of any third-party service;
- resell or share access to Reel, or create multiple accounts or trials to get around limits;
- try to bypass the safety filters of Reel or its AI providers, or use Reel to build a competing AI model;
- break any law or the policies of the AI assistant platform you use Reel through, or of Google's Generative AI Prohibited Use Policy.
We may remove content, limit usage, or suspend accounts that we reasonably believe break these rules.
6. Copyright complaints
If you believe content processed through Reel infringes your copyright, send a notice to lawrence.a.hutchins@gmail.com with the details the law requires. We may suspend repeat infringers.
7. AI outputs
Reel's outputs are generated by AI. They can be inaccurate, incomplete, or miss things that are in the video. Review outputs before relying on them. You're responsible for how you use them.
8. Third-party services
Reel works with services we don't control, including AI assistants (such as Claude, ChatGPT, Cursor, and Grok), Google (Gemini, Drive, YouTube), and Stripe. Their terms and privacy policies apply to your use of them. We aren't responsible for them, and a change on their side may change or interrupt Reel features. Reel is not made, endorsed, or sponsored by any of them.
9. Changes to the Service
We may add, change, or remove features. If we remove a core feature you're paying for, we'll tell you in advance where practical. We do not refund a partial period for that change.
10. Termination
- You can stop using Reel and delete your account at any time. Cancel your subscription in the billing portal to stop future charges.
- We may suspend or end your access if you break these terms, if required by law, if a provider we depend on stops supporting the use, or if we discontinue Reel. Where reasonable, we'll give notice. If we discontinue Reel, you can cancel and you keep access through the end of the period you've paid for. We do not refund unused prepaid fees except where the law requires it.
- After termination, we delete your data as described in the Privacy Policy. Sections 4 (license limits), 7, 11, 12, 13, and 15 survive.
11. No warranty
REEL IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We don't promise Reel will be uninterrupted, error-free, or that outputs will be accurate. Some places do not allow limits on certain warranties. In those places, the limits apply only as far as the law allows.
12. Limitation of liability
TO THE MAXIMUM EXTENT ALLOWED BY LAW:
- Ouroboros is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.
- Our total liability for any claim relating to Reel is limited to the amount you paid us for Reel in the 12 months before the claim.
Some jurisdictions don't allow these limits, so they may not fully apply to you.
13. Indemnity
You agree to defend and indemnify Ouroboros against third-party claims arising from Your Content or your breach of these terms, including claims that you didn't have the rights to a video you submitted.
14. Changes to these terms
We may update these terms. If a change is material, we'll notify you by email or in the Service at least 14 days before it takes effect. If you keep using Reel after that, you accept the new terms. If you don't agree, cancel before the change takes effect.
15. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Virginia, USA, excluding conflict-of-law rules. Disputes are brought in the state or federal courts located in the Commonwealth of Virginia. These terms do not require arbitration.
16. General
These terms and the Privacy Policy are the whole agreement between us about Reel. If a provision is unenforceable, the rest still applies. Not enforcing a provision isn't a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale.
